TERMS AND CONDITIONS OF REPRESENTATION

 

These Terms and Conditions govern the relationship between Baby Models, the Model and, where the Model is under 18, the Model’s Parent or Legal Guardian.

By accepting an offer of representation, the Parent/Guardian confirms that they have read, understood and agreed to these Terms and Conditions on behalf of themselves and the Model.

These Terms and Conditions are intended to operate in accordance with the Employment Agencies Act 1973, the Conduct of Employment Agencies and Employment Businesses Regulations 2003 and applicable consumer protection legislation.

 

1. Definitions

Assignment means any modelling, advertising, promotional, entertainment, marketing, public relations or related services that a Client requests the Model to undertake.

Client means any person, company, agency, partnership or organisation seeking to engage the Model for an Assignment.

Company means Baby Models.

Fees means the sums payable to the Model in connection with an Assignment, before the deduction of any agreed commission or lawful expenses.

Model means the person accepted for representation by the Company.

Online Platform means any website, application, database, portfolio system or other digital service operated by the Company through which Models may be presented to Clients or informed about opportunities.

Parent/Guardian means the parent or legal guardian accepting these Terms and Conditions where the Model is under 18.

Representation means the services provided by the Company in seeking, negotiating and administering suitable Assignments for the Model.

Term means the period of representation selected and accepted when the Model joins the Company.

 

2. Appointment and Representation

2.1 The Company will act as an employment agency and will use reasonable endeavours to introduce the Model to suitable Clients and Assignments.

2.2 Representation is non-exclusive. The Model may register with other agencies and accept work from other sources, provided this does not interfere with an Assignment arranged by the Company.

2.3 The Company is authorised to negotiate Assignment terms, issue invoices, collect payments and deduct the agreed commission on the Model’s behalf.

2.4 The Company will not confirm an Assignment on behalf of the Model without first obtaining the Model’s or Parent/Guardian’s agreement, except where standing authority has been expressly provided in writing.

2.5 The Company may continue to collect payment after the Term has ended where that payment relates to an Assignment introduced, negotiated or completed during the Term.

 

3. Model and Parent/Guardian Responsibilities

The Model and Parent/Guardian agree to:

a. providescomplete, truthful and accurate information;

b. ensure that the Model is legally entitled and available to undertake each accepted Assignment;

c. keep contact details, measurements, appearance information, availability and portfolio images accurate and up to date;

d. provide clear, recent and good-quality photographs that accurately represent the Model’s current appearance;

e. inform the Company promptly of any material change in the Model’s appearance, including changes to hair, weight, visible marks, piercings or other distinguishing features;

f. respond promptly to reasonable communications relating to castings, bookings and payments;

g. arrive punctually and properly prepared for all confirmed Assignments;

h. behave professionally, respectfully and safely when communicating with the Company, Clients, photographers and other Models;

i. follow all reasonable health, safety, safeguarding and site rules applicable to an Assignment;

j. notify the Company immediately if the Model cannot attend a confirmed casting or Assignment; and

k. maintain the confidentiality of non-public Client information, casting materials, rates, campaign details and other commercially sensitive information.

The Parent/Guardian remains responsible for supervising a Model under 18 unless alternative arrangements have been expressly agreed in writing.

 

4. Company Responsibilities

4.1 The Company will use reasonable endeavours to identify and communicate suitable opportunities.

4.2 Opportunities may be provided through the Online Platform, direct submissions, email, telephone, messaging services, marketing to Clients or other appropriate methods.

4.3 The Company will consider suitability based on factors including age, appearance, measurements, location, availability, experience and the Client’s brief.

4.4 The Company does not guarantee that the Model will receive castings, auditions, bookings, paid work or any particular level of income.

4.5 All final casting and booking decisions are made by the Client. The Company is not responsible where a Client decides not to select or engage the Model.

4.6 The Company may decide not to submit a Model for an opportunity where the Company reasonably believes the Model does not meet the brief or the Assignment would not be suitable.

 

5. Online Profile and Portfolio

5.1 The Model and Parent/Guardian consent to the Company storing and displaying approved photographs, measurements, experience and other relevant profile information on the Online Platform.

5.2 Profiles may be made available to registered or approved Clients and, where expressly agreed, may also be used on the Company’s public website, social media accounts or promotional materials.

5.3 The Company may edit, crop, resize, format or remove profile materials where reasonably necessary for presentation, safeguarding, quality or technical purposes.

5.4 The Model and Parent/Guardian confirm that they have permission to provide all uploaded photographs and materials to the Company.

5.5 The Company may decline or remove photographs that are inaccurate, inappropriate, poor quality, outdated or inconsistent with its portfolio standards.

5.6 The Model should update their portfolio regularly and whenever their appearance materially changes.

 

6. Assignments, Payments and Commission

6.1 Assignment fees, usage rights, expenses and other material booking terms will be communicated before the Assignment is confirmed wherever reasonably practicable.

6.2 Unless otherwise agreed in writing, the Company will deduct 25% commission from the Model’s agreed gross hire fee.

6.3 The Company may invoice and collect payment from the Client on behalf of the Model.

6.4 Payment will normally be forwarded to the Model after cleared funds have been received from the Client and the Company has received all information reasonably required to process payment.

6.5 Client payment periods vary. Payment may therefore take longer than 30 working days after an Assignment has been completed.

6.6 The Company will use reasonable efforts to pursue overdue Client payments but cannot guarantee that every Client invoice will be paid.

6.7 No additional deduction will be made from the Model’s earnings unless it has been disclosed and agreed in writing or is otherwise permitted by law.

6.8 Money received by the Company on behalf of the Model will be handled in accordance with the applicable Conduct Regulations.

 

7. Fees and Additional Services

7.1 The Company will not charge the Model an upfront fee for finding or attempting to find photographic or fashion modelling work where such a charge is prohibited by law.

7.2 Any charge for a separate or additional service, including photography, portfolio production or another optional service, will be clearly described before purchase.

7.3 The Model or Parent/Guardian will be told:

a. what service is being provided;

b. the price or method of calculating the price;

c. who will provide the service;

d. whether the service is optional;

e. the applicable cancellation rights; and

f. whether and in what circumstances a refund may be available.

7.4 The purchase of an optional service does not guarantee representation, castings, bookings or paid work.

7.5 The Company will not make the provision of work-finding services conditional upon purchasing an unlawful or unnecessary additional service.

 

8. Cancellation and Termination

8.1 All membership fees are payable in advance at the start of the selected membership term. The Company does not offer monthly subscriptions or recurring monthly payment plans.

8.2 The Model or Parent/Guardian may cancel their membership by giving written notice within seven (7) days of purchase (the "Cooling-Off Period"). Where a refund is due under these Terms and Conditions or applicable law, it will be processed using the original payment method.

8.3 The Model and Parent/Guardian acknowledge that representation begins immediately upon successful payment. From the point of activation, the Company may, without delay:

  • publish the Model's profile to its client database;
  • make the Model searchable by Clients;
  • promote the Model for suitable opportunities;
  • include the Model in casting searches and recommendations;
  • submit the Model for Assignments where appropriate; and
  • present the Model to Clients for consideration and shortlisting.

8.4 Where the Model's account has been activated and representation services have commenced during the Cooling-Off Period, including where the Model's portfolio has been published or made available to Clients, the Company reserves the right to refuse a cancellation request or refund where permitted by applicable law, as the requested services have already begun and the Model may already have been promoted to, viewed by or shortlisted by Clients.

8.5 Once the seven (7) day Cooling-Off Period has expired, all membership fees become strictly non-refundable, regardless of whether the Model has secured any castings, auditions or paid work, except where otherwise required by law.

8.6 The Model may terminate their Representation at any time by notifying the Company in writing. Termination will end future representation only and will not entitle the Model to any refund of membership fees already paid.

8.7 Termination of Representation does not affect:

a. any Assignment already accepted;

b. any payment due to the Model for completed Assignments; or

c. any commission payable to the Company in respect of Assignments introduced before termination.

8.8 The Company may suspend or terminate Representation immediately where the Model or Parent/Guardian:

8.9 Nothing in these Terms and Conditions prevents the Model or Parent/Guardian from making a genuine complaint, leaving an honest review or exercising any statutory rights available under consumer protection legislation.

 

9. Complaints

9.1 The Company is committed to investigating complaints fairly and promptly.

9.2 Complaints should first be sent directly to the Company and should include sufficient details and supporting evidence to allow the matter to be investigated.

9.3 The Company will acknowledge and investigate the complaint within a reasonable period.

9.4 Nothing in these Terms and Conditions prevents the Model or Parent/Guardian from:

a. expressing an honest opinion;

b. contacting a regulator or enforcement authority;

c. obtaining independent legal advice;

d. reporting suspected unlawful conduct; or

e. exercising any statutory or consumer protection right.

 

10. Portfolio Shoots

10.1 Where a portfolio shoot is offered, the applicable arrangements, charges and cancellation terms will be communicated before the booking is confirmed.

10.2 The Model and Parent/Guardian must notify the Company as soon as reasonably possible if they cannot attend.

10.3 Where less than 24 hours’ notice is provided, or the Model fails to attend without notice, the Company may charge a reasonable rescheduling fee of £25, provided this was disclosed before the booking.

10.4 Unless expressly stated otherwise, photographs taken during a portfolio shoot remain subject to the photographer’s copyright and licensing terms.

10.5 Images may only be downloaded, reproduced or used where the required licence or usage rights have been purchased or granted.

10.6 The Parent/Guardian must inform the photographer and Company in advance of any medical condition, additional need, sensitivity to flash photography or other matter relevant to the Model’s safety.

10.7 Models under 18 must be accompanied and supervised by a parent, legal guardian or properly authorised chaperone.

10.8 Parents and guardians must ensure that children do not handle or interfere with studio equipment.

 

11. No Guarantee of Work

11.1 The Model and Parent/Guardian acknowledge that modelling is competitive and that selection depends on the individual requirements and decisions of Clients.

11.2 Representation, profile approval, portfolio reviews, ratings, submissions and invitations to apply do not guarantee paid employment.

11.3 The Company is not liable merely because the Model receives fewer opportunities than expected or does not secure an Assignment during the Term.

11.4 Any discretionary extension or refund guarantee must be expressly confirmed in writing and will be subject to the eligibility conditions stated in the applicable offer.

 

12. Liability

12.1 Nothing in these Terms and Conditions excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded.

12.2 Subject to clause 12.1, the Company will not be responsible for indirect or consequential losses, loss of opportunity or loss of anticipated income.

12.3 The Company is not responsible for the acts or omissions of independent Clients, photographers, production companies, venues or other third parties, although the Company will take reasonable steps to address genuine safeguarding or professional concerns brought to its attention.

12.4 The Model and Parent/Guardian will be responsible for losses reasonably incurred by the Company as a direct result of their fraud, deliberate misconduct or material breach of these Terms and Conditions.

 

13. Data Protection

13.1 Personal information will be collected, stored and processed in accordance with applicable data protection legislation and the Company’s Privacy Policy.

13.2 Certain information may be shared with Clients where reasonably necessary to assess, cast, book or pay the Model.

13.3 Information concerning a child will only be processed where the Company has an appropriate lawful basis and the necessary Parent/Guardian authority.

13.4 The Company may retain records where required for legal, regulatory, accounting, safeguarding or legitimate business purposes.

 

14. General Provisions

14.1 These Terms and Conditions constitute the agreement between the Company, the Model and the Parent/Guardian concerning Representation.

14.2 Any material variation will be communicated in writing. Where legally required, the Model or Parent/Guardian will be asked to accept the revised terms.

14.3 If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.

14.4 A failure or delay in enforcing any provision does not amount to a waiver of that provision.

14.5 Nothing in these Terms and Conditions creates an employment relationship, partnership or joint venture between the parties.

14.6 The Model is engaged under a contract for services unless otherwise expressly confirmed in writing.

14.7 Notices may be sent to the postal address or email address most recently supplied by the relevant party.

14.8 These Terms and Conditions are governed by the laws of England and Wales.

14.9 The courts of England and Wales will have jurisdiction, subject to any mandatory consumer right allowing proceedings to be brought elsewhere.

 

15. Acceptance

By accepting Representation, the Parent/Guardian confirms that:

a. they are authorised to act on behalf of the Model;

b. all information provided is accurate;

c. they have read and understood these Terms and Conditions;

d. they understand that no work or income is guaranteed; and

e. they agree to the Company processing and presenting the Model’s information for legitimate representation and casting purposes.
